Her father Will Smith is said to be exploring the idea of making a new version of the film with Sony, following the success of his remake of The Karate Kid with son Jaden.
Will would produce the project - which is currently in the early stages of development - while Jay-Z, who collaborated with 10-year-old Willow on her chart-topping single 'Whip My Hair', is in negotiations to work on the music.
Jay-Z previously created a hip-hop version of 'Hard Knock Life', one of the best-known songs to come from the musical.
It is not known if the movie would be a contemporary version of the original, Variety reports.
No other artists or crew have yet been attached to the Annie project.
Despite currently focusing on a music career, Willow has appeared alongside her father in the 2007 movie I Am Legend and also voiced the character of Baby Gloria in animated movie Madagascar 2.
